  1. APPLICABILITY

The General Terms and Conditions of Sale detailed below apply to all orders placed with Happinova, either directly with Happinova or via sales partner. Exclusive sales partners are Manta Gifts (the Netherlands, Belgium Luxembourg, France, UK and Ireland), Feellab (Italy) and Team Trade (Switzerland). Happinova reserves the right to adapt or modify the T&C’s at any time, the version of the Terms and Conditions applicable to any transaction is the T&C’s published at the date of the order. Consequently, placing an order by a customer implies complete adherence, without reservation, to these terms and conditions. 

 

  1. BECOME CUSTOMER

Before placing an order, the client shall at first share its company data. The data of the client shall be validated by Happinova. A confirmation of the subscription is sent to the client by email. Happinova may at all times refuse a client. 

The client ensures an accurate and complete set of the data. Client shall update its personal data when necessary. If an error occurs relating to the recipient address, Happinova shall not be held liable in case of any inability to deliver the products ordered. 

Your personal information is governed by our Privacy Policy. For more information about protection, collection, processing and use of personal data, as well as the client’s rights and options available to protect its privacy, please refer to our privacy policy. 

In order to place an order, client must have attained majority and enjoy its full legal capacity to enter into contracts, and possess a valid payment card issued by a bank acceptable to Happinova payment provider. 

 

  1. PRODUCT

Every effort is made to ensure that the products displayed online correspond as closely as possible to the final made to order pieces. However, due to the handmade nature of our products, slight variations can and do occur. No responsibility can be accepted for these variations. 

Happinova takes the greatest care in the presentation and description of the products in order to provide the customer with the best possible information. However, some non-substantial errors may appear on the website, which the customer acknowledges and agrees to. 

 

  1. AVAILABILITY

The products offered for sale are those described and available on the website, within the limit of available product stock. Information is updated in real time. Nevertheless, errors occurring during the update cannot held the liability of Happinova. Happinova cannot be held liable in case of an order cancellation because of stock depletion. 

We reserve the right to limit the quantities of any products or services that we offer. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited. 

 

  1. ORDER

Confirmation of the order by the client implies the acceptance of all provisions of T&C’s. An email confirmation summarizing the order (products, prices and quantity.) will be sent to the customer by Happinova. For this purpose, the customer formally accepts the use of email for receiving confirmation of the contents of their order from the company Happinova. In any event, the invoices will be send by e-mail to the address that has been given in the personal data. 

 

  1. ORDER REFUSAL

Happinova reserves the right to refuse any request or order at its sole discretion. Happinova reserves the right to limit the number of items ordered and to refuse service to you without prior notification. 

 

  1. PRICING

Price are mentioned in the website in Euros (€). Prices includes V.A.T. but exclude any customs duties and other taxes. Certain countries outside the European Union may be subject to additional charges (duties, taxes) upon reception depending upon the legislation of their country. Such additional costs shall be directly paid by the Client to the carrier. 

In the event that an item lists an incorrect price, either due to typographical or other error, Happinova shall have the right to refuse or cancel any such order placed for the incorrect price, regardless of whether the order is being or has been processed. If payment has already been made or if your account has already been charged for the purchase and the order is cancelled, Happinova shall credit your account in the amount of the incorrect price. 

The total purchase price due will be indicated when the order is placed and when the agreement is confirmed. 

All descriptions of products or product pricing are subject to change at any time without notice, at the sole discretion of us. 

 

  1. TERMS OF PAYMENT

Payment may be made using the methods indicated on the Website via the secure platform provided by our partner Mollie. For more information about protection, collection, processing and use of your personal data regarding the payment, as well as the client’s rights and options available to protect its privacy, please refer to Mollies privacy policy. 

 

  1. DELIVERIES

Delivery is carried out by PostNL unless agreed otherwise. Delivery prices applicable to the Order are those indicated on the Website at the time of the Order in the section “Delivery and returns”. 

The delivery is made to the delivery address indicated by the customer, being specified that it must be the address of the customer’s residence, an individual of their choice or a legal entity (delivery to their company). Customer must make sure that they have provided accurate and complete information concerning the delivery address. In case of inability to deliver the products at the address indicated by the customer, products will be returned to Happinova which will contact the customer to organize another Delivery at customers costs. Happinova shall not be held liable in case of any inability to deliver the products ordered. 

Web shop orders are shipped within 2-3 business days at most for a Delivery and 20 business days at most for an International Delivery, from the date after the confirmation of the Order. Nevertheless, the period may be extended up to 10 working days, especially during peak seasons, considering the significant increase of the orders volume. Happinova cannot be liable for the late Delivery caused by a case of force majeure.

  1. RETURN & REFUND

The customer will be entitled to return the product that has been delivered, within a term of 14 days after the product has been received without stating his/her reason for doing so, in the manner indicated by Happinova on the website, provided that the product has not been used, is undamaged and (insofar as possible) is in the original and undamaged packaging. 

The customer will not be permitted to exchange the product for another product. If the customer wishes to purchase another product he/she will have to place a new order on the Website. In the case referred to in the preceding subsection, Happinova will refund the purchase price of the product as quickly as possible to the account used to purchase the order, but in any event within 14 days after Happinova received the returned product, this is without shipping cost. 

Return of the product(s) is at the responsibility of the customer and is at their own risk. Shipping costs of returning items is fully borne by the customer. Any damage that occurs during the return shipment will be at the expense and responsibility of the customer. 

After 14 days of receival, the sale is final. 

 

  1. DAMAGES

If any Happinova products become damaged during transport or any visible defect of a product please notify us at info@Happinovaamsterdam.com within 24 hours after receiving the package. 

All notifications must include images that indicate the defect of the product. Failing that, the demand won’t be accepted and no return or exchange will be possible. The Product, with its original packaging, with the original labels, brand new, without having used it, shall be returned to:

Visible defect confirmed by Happinova shall give rise, depending of the demand’s content and the nature of the defect, to exchange or repayment or a voucher. 

 

  1. LIABILITY

Happinova shall not be liable for defects, delay or any other damage caused by circumstances which Happinova ought not to have expected, including acts of war, terrorism, malicious damage, fire, blockades, mobilization, import and export restrictions, political unrest, strike, lockout, labour shortage or shortage of goods, unusual natural events etc. 

Happinova makes no promises in respect of any harm that may be caused by the transmission of a computer virus, worm, time bomb, Trojan horses, cancelbots, logic bomb or any other form of programming routine designed to damage, destroy or otherwise impair a computer’s functionality or operation including transmission arising from your download of any content, software you use to download the content, the Website or the server that makes it available. In this respect the customer agrees that it is his/her responsibility to install suitable anti-virus and security software to protect against any such bugs, viruses or other such harmful programming routines. Subject to the first paragraph of this section, any content downloaded or otherwise obtained through the use of the Website is done at customer’s own risk and the customer will be solely responsible for any damage to its computer system or loss of data that results from the download of any such content. 

Certain content, products and services available via our Service may include materials from third-parties. Third-party links on this site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third-parties. 

We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party’s policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party. 

  1. INTELLECTUAL PROPERTY RIGHTS

All trademark of intellectual property rights and design belongs to Happinova. The retailer’s use of this shall be subject to Happinova’s previous agreement in writing. 

 

  1. SELLING VIA BOL.COM, AMAZON AND OTHER MARKETPLACES

We do not allow any business or individual to sell the products through Bol.com, Amazon, Etsy, eBay, Alibaba or any other similar marketplace. 

 

  1. B2B MINIMUM ORDER AND SHIPPING COSTS

Minimum order for B2B customers is €200. Shipping costs are calculated as 10% of the order amount. Free shipping from €350. 

 

  1. GOVERNING LAW AND VENUE
